By accessing or using the Barket Salah platform, website, applications, or any related services (the Service), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you (the User) and Barket Salah Logistics (Barket Salah), a logistics company with headquarters in Canada and a regional office in Turkey.

This license does not include the right to sublicense, sell, resell, or otherwise commercially exploit the Service or any portion thereof.
You retain ownership of all data and content you upload to the Service. By uploading content, you grant Barket Salah a non-exclusive, worldwide license to use, store, and process that content solely for the purpose of providing the Service to you.

Both parties acknowledge that in the course of using the Service, they may receive or have access to confidential information of the other party. Confidential Information includes, but is not limited to, business plans, pricing, customer data, trade secrets, technical information, and any information designated as confidential.
Each party agrees to hold the other party's Confidential Information in strict confidence, not disclose Confidential Information to any third party except as necessary to perform its obligations or exercise its rights under these Terms, and use Confidential Information only for the purposes contemplated by these Terms.
These confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed without use of the disclosing party's Confidential Information, or is required to be disclosed by law or court order.
To the maximum extent permitted by applicable law, in no event shall Barket Salah, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to Barket Salah during the twelve months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Barket Salah and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
Either party may terminate these Terms at any time by providing 30 days written notice to the other party. We may also suspend or terminate your access to the Service immediately, without prior notice, if:
Upon termination, your right to use the Service will cease immediately. You may request export of your data within 30 days of termination, after which we may delete your data in accordance with our data retention policy.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal proceedings arising out of or relating to these Terms shall be subject to the non-exclusive jurisdiction of the courts of Ontario, Canada.
For international users, these Terms are also subject to applicable international trade laws, including but not limited to the United Nations Convention on Contracts for the International Sale of Goods to the extent not excluded by these Terms.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration.
Arbitration shall be conducted under internationally recognized commercial arbitration rules by one or more arbitrators appointed in accordance with those rules. The seat of arbitration shall be Toronto, Ontario, Canada, and the language of arbitration shall be English. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions or sanctions, embargoes, epidemics or pandemics, labor disputes, port closures, disruptions to transportation networks, power failures, telecommunications failures, or cyber-attacks.
The affected party shall provide prompt notice to the other party of the force majeure event and shall use reasonable efforts to mitigate its effects. If the force majeure event continues for more than 90 consecutive days, either party may terminate the affected services upon written notice.
We reserve the right to modify these Terms at any time. When we make changes, we will update the Last updated date at the top of this page and, for material changes, provide notice through the Service or via email. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
If you do not agree to the modified Terms, you must stop using the Service and may request termination of your account. It is your responsibility to review these Terms periodically for any changes.
